独立董事制度作为一舶来品,在中国的土地上能否扎根?对中国较为混乱的公司治理能否起到有效的规范作用?本文试图通过对中国社会现状及上市公司的分析,对于独立董事这一在国外公司已经是普遍适用的治理模式制度的移植过程中所应注意、解决的问题进行初步式探讨.
